Terms and Conditions

  1. Vidmeup Terms and Privacy Policy ("Terms")

    1. Vidmeup.com ("Vidmeup") is wholly owned by Dot TV Media Ltd, a company registered in Jersey (British Channel Islands) and all references in these Terms to Vidmeup include Dot TV Media Ltd
    2. By accessing, viewing and/or using Vidmeup's website (the "Site") at www.vidmeup.com or via any other web location giving access to the Site, you accept and agree to be governed by these Terms, including viewing any information, text, graphics, or other materials (the "Content"), created and/or provided by Vidmeup and appearing on the Site. This includes "Videosites" (as defined below) and any services and/or software provided through the Site or by Vidmeup (the "Services").
    3. Under these Terms, Vidmeup is limited in its liability and obligations to you, and you hereby grant Vidmeup certain rights including the right to suspend or terminate your access to and use of the Site without notice. Your access to and use of the Site is conditional on your compliance with these Terms.
    4. By accessing, viewing and/or using the Site or clicking on "I agree to the terms and conditions" you understand that you are agreeing to be bound by these Terms. If you access view and/or use the site on a business capacity or if you agree to these Terms on behalf of a business, you warrant that you have the authority to bind that business to these Terms and your agreement to these Terms will be treated as the agreement of the business. In that event, "you" and "your" will refer and apply to that business as well as you individually.
    5. You must be 16 years of age to view Vidmeup. If you are under 16 years of age you should make no attempt to view and/or use Vidmeup.
  2. Types of Accounts in Vidmeup

    1. Vidmeup current offers restricted free accounts ("Free Account") with a limited range of services and paid accounts ("Paid Accounts") with additional paid services (collectively "User Account"). For more information see http://vidmeup.com/vmu_packages.
    2. You agree that you have been given by Vidmeup every opportunity to read this document in its entirety regarding account restrictions. Vidmeup reserves the right, at any time, to change or impose fees for access to and use of the Site, Content, Videosites and Services.
    3. You must be 16 years of age to set up a Free Account on Vidmeup and you warrant that you are 16 years of age at the time of setting up a Free Account. If you are under 16 years of age you should make no attempt to set up a Free Account. Parents and guardians of persons under 16 are fully responsible for ensuring that persons under 16 in their charge do not attempt to set up a Free Account. Vidmeup accepts no responsibility for verifying the age of persons who set up a Free Account.
    4. You must be 18 years of age to set up a Paid Account on Vidmeup and you warrant that you are 18 years of age at the time of setting up a Paid Account. If you are under 18 years of age you should make no attempt to set up a Paid Account. Vidmeup accepts no responsibility for verifying the age of persons who set up a Paid Account.
  3. Your Videos and Videosites in Vidmeup

    1. "Your Videos" or "User Videos" (collectively, the "Videos") in these Terms means the Videos that you and/or other users upload, download and access through the Site, Videosites and Services.
    2. You agree that you are the owner of Your Videos and are solely responsible for your conduct and the content of Your Videos, as well as any of the content contained in your Videosite, your communications with other Vidmeup users, including but not limited to comments posted by viewers on Your Videos ("User Posts").
    3. Videosites are the unique web pages provided to you by Vidmeup via the Site, where Your Videos and User Videos are accessed by you and other Vidmeup users and other users who access your videosite independently via the web or other websites.
    4. Vidmeup allows you to share some or all of Your Videos. if you choose to, you can share all or some of Your Videos with the general public, or with specific individuals you select. If you decide to share Your Videos, you are giving certain legal rights, as explained below, to those individuals who you have given access to Your Videos and your Videosite.
    5. Vidmeup has no ownership rights in Your Videos or any other content and materials (including code) on your Videosite. You hereby grant to Vidmeup a non-exclusive, worldwide, royalty-free, sublicensable, perpetual and irrevocable right and license to use and exploit Your Videos, content and other materials (including code) in your public Videosite and also in your private Videosite, in the case of the latter for the purposes of providing the Site and the Services in accordance with these Terms only.
    6. You agree that Vidmeup has no obligation to monitor the Videos or User Posts that are uploaded, posted, submitted, linked to or otherwise transmitted using the Site or Services, for any purpose and, as a result, is not responsible for the accuracy, completeness, appropriateness, legality or applicability of the Videos or content on your or any other Videosite and anything said, depicted or written by users in their User Posts, including without limitation, any information obtained by using the Site or Services.
    7. Vidmeup does not endorse anything contained in the Videos or User Posts or any opinion, recommendation or advice expressed using the Site or Services and you agree to waive, and herby do waive, any legal or equitable rights or remedies you have or may have against Vidmeup with respect thereto to the fullest extent permitted by applicable law.
  4. Your Public Videosite

    1. While you own the content and other materials (including code) contained in Your Videos and Videosite, videos, content and other materials (including code) in your public videosite is automatically available to the general public. By placing Your Videos, content and other materials (including code) on your public Videosite, you hereby grant the public a non-exclusive, non­commercial, worldwide, royalty-free, sublicensable, perpetual and irrevocable right and license to use and exploit Your Videos, content and other materials (including code) in your public Videosite. In other words, a video, content or other materials (including code) in your public videosite can be used by anyone, for any purpose except commercial use.
    2. If you do not want other people to be able to use Your Videos in this manner, then simply do not place Your Videos and content in your public Videosite. By placing Your Videos and other materials (including code) in your public videosite, you agree and acknowledge that Vidmeup has no responsibility or obligation to monitor or notify of you of any non-compliance related to the license you have granted and that Vidmeup has no responsibility to enforce or police, or aid you in enforcing or policing, the terms of that license.
  5. Your Private Videosite

    1. While you own the content contained in Your Videos and Videosite, videos, content and other materials (including code) placed in your private Videosite are available to those users to whom you grant access. By placing Your Videos, content and other materials (including code) in your private Videosite, you agree and acknowledge that Vidmeup has no responsibility or obligation to monitor or notify of you of any non-compliance related to the rights or license you may choose to grant to other users who have access to your private videosite, if any, and that Vidmeup has no responsibility to enforce or police, or aid you in enforcing or policing, the terms of the license(s) or permission(s) you have chosen to offer.
  6. Your Responsibilities

    1. You represent and warrant that you own or have the necessary licenses, rights, consents and permissions to grant the licenses that both your public and private Videosites require, as described above. Please note that removing all or some of the Videos from your public videosite does not revoke the license granted to those individuals who previously accessed those Videos.
    2. You should be aware that Videos may be protected by intellectual property rights which are owned by the Vidmeup user whose Videosite (public or private) that video resides in. You may not modify, rent, lease, loan, sell, distribute or create derivative works based on the content(s) (either in whole or in part) of another user's Videosite unless you have been specifically told that you may do so by the rightful owner of that Videosite, in a separate agreement.
    3. You agree that you should not rely on the Site, Content, Videos and Services for any reason. You further acknowledge and agree that you are solely responsible for maintaining and protecting all data and information that is stored, retrieved or otherwise processed by the Site, Content, Videos or Services. Without limiting the foregoing, you will be responsible for all costs and expenses that you or others may incur with respect to backing up, and restoring and/or recreating any content, data, Videos and information that is lost or corrupted as a result of your use of the Site.
  7. Your Vidmeup Account Security

    1. You are solely responsible for safeguarding the password that you use to access the Site. You agree not to disclose your password to any third party. You agree to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities or actions. You will immediately notify Vidmeup of any unauthorized use of your password. You acknowledge that if you wish to protect your transmission of your password, content, data and/or Videos to Vidmeup, it is your responsibility to use a secure encrypted connection to communicate with and/or utilize the Site.
  8. License from Videmup for Use of the Services

    1. To the extent that it is able to do so, Vidmeup grants you a limited, nonexclusive, nontransferable, revocable license to use the Site, Content, Videos and Services subject to the restrictions set out in these Terms and to all applicable laws.
  9. Vidmeup Property and Feedback

    1. All right, title, and interest in and to the Site, Content, and Services are and will remain the exclusive property of Vidmeup and its licensors, including all Intellectual Property Rights (as defined below), even if Vidmeup incorporates any of your Feedback (as defined below) into subsequent versions.
    2. The Site is protected by copyright, trademark, and other laws of Jersey, the United Kingdom and other countries. Except as expressly permitted in these Terms, you may not reproduce, modify or prepare derivative works based upon, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use the Site. You may not copy or modify the HTML or other code used to generate web pages on the Site.
    3. All feedback, comments, and suggestions for improvements (the "Feedback") that you provide to Vidmeup, in any form, will be the sole and exclusive property of Vidmeup. You agree to irrevocably assign and transfer to Vidmeup all of your right, title, and interest in and to all of your Feedback, including all worldwide patent rights (including patent applications and disclosures), copyright rights, trade secret rights, and other intellectual property rights (collectively, the "Intellectual Property Rights") in your Feedback.
    4. At Vidmeup's request and expense, you will execute documents and take such further acts as Vidmeup may reasonably request to assist Vidmeup in acquiring, perfecting and maintaining its Intellectual Property Rights and other legal protections for your Feedback and User Posts. You will not earn or acquire any rights or licenses in the Site, Content, and Services or in any Vidmeup Intellectual Property Rights on account of these Terms or your performance under these Terms.
  10. Vidmeup General Prohibitions

    You agree not to to do any of the following while using the Site, Content, Videos or Services:

    1. Post, publish or transmit or link to any text, graphics, videos or material that: (i) is false or misleading; (ii) is defamatory; (iii) invades another's privacy or is in breach of confidence; (iv) is illegal, obscene, indecent, pornographic, offensive, unlawful, threatening or abusive or is intended to upset other users or viewers; (v) promotes bigotry, racism, hatred or harm against any individual or group; (vi) infringes another's rights, including any intellectual property rights; or (vii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
    2. Access, tamper with, or use non-public areas of the Site (including but not limited to user Videosites not designated as 'public' or that you have not been given permission to access), Vidmeup's computer systems, or the technical delivery systems of Vidmeup's providers;
    3. Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures;
    4. Attempt to access or search the Site, Content, Videos or Services with any engine, software, tool, agent, device or mechanism other than the software and/or search agents provided by Vidmeup or other generally available third-party web browsers (such as Microsoft Internet Explorer or Mozilla Firefox), including but not limited to browser automation tools;
    5. Send unsolicited email, junk mail, "spam," or chain letters, or promotions or advertisements for products or services;
    6. Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site, Content, Videos or Services to send altered, deceptive or false source-identifying information;
    7. Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site, Content, Videos or Services;
    8. Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail­bombing the Site; or plant malware on Vidmeup's computer system, those systems of Vidmeup's providers, or otherwise use the Site, Content, Videos or Services to attempt to distribute malware;
    9. Impersonate or misrepresent your affiliation with any person or entity; or
    10. Do anything which does not conform with the acceptable use policies of any connected networks and internet standards generally.
    11. Vidmeup will have the right to investigate and prosecute violations of any of the above, including intellectual property rights infringement and Site security issues, to the fullest extent of the law, and Vidmeup provides a 'Report this Video' facility for any member of the public to notify Vidmeup of any violation of any of the above.
    12. Vidmeup may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.
    13. You acknowledge that Vidmeup has no obligation to monitor any user's access to or use of the Site, Content, Videos and Services, but has the right to do so, at its sole discretion for the purpose of operating the Site and the Services, to ensure users' compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.
    14. If you have any doubts about whether your Videos contravene these General Prohibitions you should not upload them. Vidmeup has no obligation to adjudicate or enter into any correspondence with you regarding the compliance of your Videos with these General Prohibitions and you accept all responsibility for their compliance.
  11. Vidmeup Copyright and Privacy Compliance

    1. You will only upload, post, submit or otherwise transmit data and/or videos: (i) that you have the lawful right to use, copy, distribute, transmit, or display; or (ii) that does not infringe the intellectual property rights or violate the privacy rights of any third party (including, without limitation, copyright, trademark, patent, trade secret, or other intellectual property right, or moral right or right of publicity). You will comply and you are solely responsible for complying with all applicable privacy and data protection laws.
    2. Vidmeup has adopted and implemented a policy that permits the deletion of content and videos that violate this policy, and that permits the termination in appropriate circumstances of the accounts of users who repeatedly infringe or are believed to be or are charged with repeatedly infringing the rights of copyright holders.
  12. Respecting Copyright When Using Your Public and Private Videosites

    1. By using the private or public Videosite features you represent that videos uploaded to those Videosites do not violate Vidmeup’s Terms and that you own all copyrights to them or have been given permission by the copyright owner to share them. If you have any doubts about whether you have the legal right to share certain Videos, you should not upload them.
  13. Links

    1. The Site may contain links to third-party websites or resources. You acknowledge and agree that Vidmeup is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Vidmeup of such websites or resources or the content, products, or services available from such websites or resources.
    2. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
  14. Termination

    1. If you violate any of these Terms of Service, your permission to use the Site, Content, Videos and Services will automatically terminate. Vidmeup reserves the right to suspend, revoke your access to and use of the Site, Content, Videos and Services at any time, with or without cause, and with or without notice. Vidmeup also reserves the right to suspend, cease providing or to change the Site, Content, Videos or Services at any time and without notice.
    2. Vidmeup reserves the right to terminate Free Accounts at any time, with or without notice. Without limiting the generality of the foregoing, and without further notice, Vidmeup may choose to delete and/or reduce: (i) any or all of Your Videos if your Free Account is inactive for 90 days; and (ii) previous versions and/or prior backups of Your Videos.
  15. Use of the Site at Your Own Risk

    1. Your access to and use of the Site, Content, Videos and Services is at your own risk. Vidmeup will have no responsibility for any harm to your computer system, loss or corruption of data, or other harm that results from your access to or use of the Site, Content, Videos or Services.
  16. Vidmeup is Available "AS-IS"

    1. THE SITE, CONTENT, VIDEOS AND SERVICES ARE PROVIDED “AS IS”, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIDMEUP EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. YOU ACKNOWLEDGE THAT USE OF THE SITE, CONTENT, VIDEOS AND SERVICES MAY RESULT IN UNEXPECTED RESULTS, LOSS OR CORRUPTION OF DATA OR COMMUNICATIONS, PROJECT DELAYS, OTHER UNPREDICTABLE DAMAGE OR LOSS, OR EXPOSURE OF YOUR DATA OR YOUR VIDEOS TO UNINTENDED THIRD PARTIES.

      VIDMEUP MAKES NO WARRANTY THAT THE SITE, CONTENT, VIDEOS OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. VIDMEUP MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION PURCHASED OR OBTAINED THROUGH THE SITE, CONTENT, OR SERVICES, OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE, CONTENT, VIDEOS OR SERVICES AND ANY AND ALL SUCH WARRANTIES (EXPRESS OR IMPLIED) ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

      TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM VIDMEUP OR THROUGH THE SITE, CONTENT, VIDEOS OR SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

  17. Indemnity

    1. You agree to defend, indemnify, and hold Vidmeup, its officers, directors, employees and agents, harmless from and against and all any claims, liabilities, damages, losses and expenses, including, without limitation, reasonable attorneys' fees and costs, arising out of or in any way connected with: (i) your access to or use of the Site, Content, Videos and Services; (ii) your violation of this Agreement; (iii) your violation of any third party right, including without limitation any intellectual property right, including but not limited to right of attribution, publicity, confidentiality, property or privacy right; (iv) any claim that Your Videos, or your use of Videos, caused damage to a third party, including without limitation claims that Your Videos, or use of Videos, defame, libel and/or infringe the rights of another; or (v) any claim that Your Videos, or your use of Videos infringe any applicable law.
  18. Limitation of Liability

    1. IN NO EVENT WILL VIDMEUP BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, CONTENT, VIDEOS AND/OR SERVICES, OR FOR ANY ERROR OR DEFECT IN THE SITE, CONTENT, VIDEOS OR SERVICES, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT VIDMEUP HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE AND ALL SUCH LIABILITIES ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW. YOU SPECIFICALLY ACKNOWLEDGE THAT VIDMEUP IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. FURTHER, VIDMEUP WILL HAVE NO LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY THIRD PARTY CONTENT UPLOADED ONTO OR DOWNLOADED FROM THE SITE OR THROUGH THE SERVICES AND/OR THE VIDEOS, OR IF YOUR DATA OR VIDEOS ARE LOST, CORRUPTED OR EXPOSED TO UNINTENDED THIRD PARTIES.

      FREE ACCOUNT HOLDERS: YOU AGREE THAT THE AGGREGATE LIABILITY OF VIDMEUP TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SITE, CONTENT, VIDEOS AND/OR SERVICES IS LIMITED TO TWENTY ($20) U.S. DOLLARS. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN VIDMEUP AND YOU.

      PAID ACCOUNT HOLDERS: YOU AGREE THAT THE AGGREGATE LIABILITY OF VIDMEUP TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SITE, CONTENT, VIDEOS AND/OR SERVICES IS LIMITED TO LOWER OF THE AMOUNTS YOU HAVE PAID TO VIDMEUP DURING THE THREE MONTH PERIOD PRIOR TO SUCH CLAIM, FOR ACCESS TO AND USE OF THE SITE, CONTENT, VIDEOS OR SERVICES, OR ONE-HUNDRED ($100) DOLLARS. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN VIDMEUP AND YOU.

  19. Severability

    1. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
  20. Waiver

    1. The failure of Vidmeup to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  21. Controlling Law and Jurisdiction

    1. These Terms and any action related thereto will be governed by the laws of Jersey (British Channel Islands) without regard to its conflict of law provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the courts of Jersey and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
  22. Entire Agreement

    1. These Terms are the entire and exclusive agreement between Vidmeup and you regarding the Site, Content, Services and Your Videos, and these Terms supersede and replace any prior agreements between Vidmeup and you regarding the Site, Content, Services and Your Videos. Vidmeup reserves the right to change these Terms at any time, with or without notice by posting the new Terms on the Site , on this page.

Vidmeup Privacy Policy

Vidmeup provides this Privacy Policy to inform you of our policies and procedures regarding the collection, use and disclosure of personal information we receive from users of www.vidmeup.com (this "Site"). This Privacy Policy applies only to information that you provide to us through this Site. Our Privacy Policy may be updated from time to time, and we will notify you of any material changes by posting the new Privacy Policy on the Site on this page.

  1. Information Collection: The Personally Identifiable Information We Collect

    1. In the course of using this Site, you may provide us with personally identifiable information. This refers to information about you that can be used to contact or identify you, and information on your use of and activities at our Site that may be connected with you ("Personal Information").

    1. Vidmeup Account holders. We will display your Personal Information in your "Dashboard" in your account for your personal viewing only and you can review and revise your personal information at any time. . Any information you choose to provide on your Videosite should reflect how much you want other Vidmeup users to know about you. We recommend that you guard your anonymity and sensitive information, and we encourage users to think carefully about what information about themselves they disclose in their Videosite.
    2. Service Providers, Business Partners and Others. We may employ third party companies and individuals to facilitate our service, to provide the service on our behalf, to perform Site­related services (including but not limited to data storage, maintenance services, database management, web analytics, payment processing, and improvement of the Site’s features) or to assist us in analyzing how our Site and service are used. These third parties have access to your Personal Information only for purposes of performing these tasks on our behalf.
    3. Compliance with Laws and Law Enforcement Requests; Protection of Vidmeup's Rights. We may disclose to parties outside Vidmeup, Videos stored in your Vidmeup account and information about you that we collect when we have a good faith belief that disclosure is reasonably necessary to (a) comply with a law, regulation or compulsory legal request; (b) protect the safety of any person from death or serious bodily injury; (c) prevent fraud or abuse of Vidmeup or its users; or (d) to protect Vidmeup’s or third party’s property rights.
    4. Business Transfers. Vidmeup may sell, transfer or otherwise share some or all of its assets, including your Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy.

If we become aware that a child under 16 has provided us with Personal Information, we will delete such information from our database.

Vidmeup Pricing, Billing Terms and Conditions

  1. Vidmeup Paid Accounts

    1. Vidmeup offers you the option of increasing your account video storage space and obtaining other additional services for a fee. By doing so, your account will be converted to the Paid Account that you select and will not be subject to the restrictions placed on Free Accounts as described below.
    2. Vidmeup accepts credit cards and will automatically charge your credit card monthly, depending upon which Paid Account you select.
    3. If any fee is not paid in a timely manner, or Vidmeup is unable to process your transaction using the credit card information provided, Vidmeup reserves the right to revoke access to your Vidmeup account and Videos.
    4. If you do not bring your Vidmeup balance current within five (5) days after Vidmeup provides you with notification that your account is in arrears, Vidmeup reserves the right to use our discretion to delete some or all of Your Videos so as to reduce your storage space to below 2 GB per week, and to convert your Vidmeup Paid Account to a Free Account (which is subject to the restrictions described below).
  2. Vidmeup Billing

    1. The fees for your Paid Account will be billed from the date you elect, or convert to, a Paid Account and on each monthly renewal thereafter unless and until you cancel your account. Click on the link on your "Account" page to see the commencement date for your next renewal period. Vidmeup will automatically bill your credit card each month on the calendar day corresponding to the commencement of your Paid Account.
    2. In the event your next level Paid Account began on a day not contained in a given month or year, Vidmeup will bill your credit card on the last day of such month or year. For example, if your Paid Account began on January 31 st, February 28th is the next time your credit card would be billed. You acknowledge that the amount billed each month or year may vary for reasons that include, differing amounts due to promotional offers, differing amounts due to changes in your account, and you authorize us to charge your credit card for such varying amounts.
    3. Vidmeup may also periodically authorize your credit card in anticipation of account or related charges. All fees and charges are nonrefundable and there are no refunds or credits for partially used periods.
    4. Should you elect to upgrade your Paid Account to a larger amount of storage space and additional services, the commencement date for your next renewal period will be reset and you will be billed for the first month or year of the upgraded level of service on a pro-rata basis. For example, if you begin your monthly billed Paid Account on February 15th, your next payment would be due on March 15th. On March 22, you upgrade your Paid Account to a larger amount of storage space and additional services pay the new amount associated with the upgraded Paid Account you have selected, less the amount equal to 7 days at your previous Paid Account rate. Your next payment would then be due on April 22.
    5. Vidmeup may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email. If you want to use a different credit card or if there is a change in your credit card validity or expiration date, you may edit your information by accessing your "Account" page.
    6. If your credit card reaches its expiration date, your continued use of the Vidmeup constitutes your authorization for us to continue billing that credit card and you remain responsible for any uncollected amounts. It is your responsibility to keep your contact information and payment information current and updated.
  3. Canceling Your Vidmeup Account

    1. Your Vidmeup Paid Account will continue in effect unless and until you cancel your Paid account or we terminate it. You must cancel your Paid Account before it renews each month in order to avoid billing of the next month's fees to your credit card. Vidmeup will bill the monthly fees associated with your Paid Account to the credit card you provide to us during registration (or to a different credit card if you change your account information).
    2. Vidmeup Paid Accounts are prepaid and are non-refundable. Vidmeup DOES NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL MONTHS. You may cancel your Vidmeup Paid Account at anytime, and cancellation will be effective immediately. If you wish to cancel your Paid Account you may do so via your "Account" page. Should you elect to cancel your Paid Account, please note that you will not be issued a refund for the most recently (or any previously) charged monthly fees.
    3. By signing up for a Vidmeup Paid Account and providing Vidmeup with your payment account information, you hereby agree to these payment terms and conditions.
  4. Free Accounts

    1. Vidmeup allows you access to services and to store videos and use other Services up to a limit free of charge.
    2. Vidmeup reserves the right to terminate Free Accounts at any time, with or without notice.
    3. Without limiting the generality of the foregoing, if a Free Account is inactive for ninety (90) days, then Vidmeup may delete any or all of Your Videos without providing additional notice.

Security Overview

Vidmeup takes the security of your personal data very seriously.

  1. Secure Storage

    1. Secure Credit Card Transactions: All credit card transaction details via Vidmeup are encrypted in compliance with [DSS PCI Level 1], which is the same encryption standard used by banks to secure customer data.
    2. No credit card data is stored by Vidmeup. Credit card information you provide for recurring billing is stored by our Payment Service Providers on their secure system.
    3. All transmission of personal data occurs over an encrypted channel (SSL). Any personal data transferred from Vidmeup over the internet is securely encrypted.
  2. Your Data, Videosite and Videos are Backed Up

    1. Vidmeup's servers also employ significant protection against network security issues such as Distributed Denial of Service (DDoS) attacks, Man in the Middle (MITM) attacks, and packet sniffing.
    2. Your Data, Videosite and Videos are backed up frequently. Vidmeup keeps multiple redundant backups of all data on multiple servers to prevent the remote possibility of issues occurring in the data center. All server disks are mirrored and are backed up frequently.
  3. Privacy

    1. We understand and guard your privacy to the best of our ability. We take all reasonable steps to protect your information from unauthorized access.
    2. Vidmeup employees are prohibited from viewing your personal details in your Vidmeup account, and are only permitted to view file metadata (file names and locations).
    3. Like most online services, we have a small number of employees who must be able to access user data for the reasons stated in our privacy policy (e.g., when legally required to do so). But that’s the rare exception, not the rule. We have strict policy and technical access controls that prohibit employee access except in these rare circumstances. In addition, we employ a number of physical and electronic security measures to protect user information from unauthorized access.
  4. Compliance with Laws and Law Enforcement

    1. As set forth in our privacy policy, and in compliance with Jersey, British Channel Islands, Law, Vidmeup cooperates with Jersey and other applicable law enforcement when it receives valid legal process, which may require Vidmeup to provide the contents of your public or private Vidmeup.
  5. I think I've found a security exploit. Where do I report security concerns?

    1. Our top priority is making Vidmeup safe for all of its users. While we're very confident in our security technology, we prefer to investigate any and all reported security concerns with any of Vidmeup's services or software.
